Supplemental Terms for Gloo Messaging Offerings

These Messaging Supplemental Terms of Service ("Messaging Supplemental Terms") apply to all access to and use of the messaging products and services made available by Gloo, including short code, long code, and other SMS, MMS, and mobile messaging Offerings (collectively, the "Messaging Offerings"). These Messaging Supplemental Terms supplement Gloo's Terms of Service ("Gloo's Terms of Service") and form part of the Agreement as defined therein, and by accessing or using any Messaging Offering, you agree to these Messaging Supplemental Terms.

Please read these Messaging Supplemental Terms carefully. IF YOU DO NOT AGREE TO THESE MESSAGING SUPPLEMENTAL TERMS, OR DO NOT MEET ALL OF THE QUALIFICATIONS IN THESE MESSAGING SUPPLEMENTAL TERMS, YOU MAY NOT ACCESS OR USE GLOO'S MESSAGING OFFERINGS.

Definitions

Terms used in this Agreement have the definitions given in these Messaging Supplemental Terms or, if not defined in these Messaging Supplemental Terms, have the meanings given in Gloo's Terms of Service. All other terms shall have their plain English meaning as commonly interpreted in the United States.

"Call-to-Action" means a message or other communication inviting a User to opt in to a Program.

"CTIA Guidelines" means the Cellular Telecommunications Industry Association ("CTIA") Messaging Principles and Best Practices, the CTIA Short Code Monitoring Handbook, and any successor or related CTIA guidance, in each case as amended from time to time.

"Laws" means all applicable laws, rules, and regulations.

"Messaging Offerings" has the meaning given above and includes the Short Code Lease Offering ("Short Code Offering") and any messaging Offering made available to you through a long code, toll-free number, or 10DLC registration.

"Opt-In" means a User's express consent to receive messages in connection with a specific Program.

"Opt-Out" means a User's request to stop receiving messages.

"Program" means the specific messaging program you describe in your application, registration, or Order for a Messaging Offering, including its purpose, message content, message frequency, and intended audience.

"Program Terms" means the terms and conditions applicable to your Program, as further described in these Messaging Supplemental Terms and Exhibit A.

"Provider Terms" means the policies, terms, and conditions of Gloo's third-party messaging providers, including the Bandwidth, Inc. Acceptable Use Policy, and any other third-party provider policies or terms that Gloo notifies you of during the term of your Order.

"User" means the user of a mobile device to which messages are delivered through a Messaging Offering.

Scope of Agreement

This Agreement includes these Messaging Supplemental Terms, Gloo's Services Terms of Service, and any applicable Order. This Agreement applies to any access to the Messaging Offerings, whether made by you directly or on your behalf. In the event of any conflict between these Messaging Supplemental Terms and Gloo's Terms of Service, these Messaging Supplemental Terms will take precedence and control with respect to the Messaging Offerings. In the event of any conflict between these Messaging Supplemental Terms and an applicable Order, the Order will control with respect to the Offerings described in that Order.

While not a part of this Agreement, all Messaging Offerings are also subject to Gloo's Privacy Statement.

Effective Date

You will be bound by this Agreement as of the date you first accept these Messaging Supplemental Terms, including electronically, or otherwise access or use any Messaging Offering. You and Gloo are each a party to this Agreement and together are the parties to this Agreement.

Access Only Through the Gloo Platform

Access to and use of the Messaging Offerings is made available solely through the Gloo platform. All access to the Gloo platform is subject to Gloo's Services Terms of Service. You are responsible for maintaining access to the Gloo platform for purposes of accessing and using your Messaging Offerings.

Permission to Submit Applications and Registrations

You grant Gloo permission to apply for a short code, and/or toll free number, and to submit any other messaging registration required by a carrier, aggregator, or industry body (including without limitation toll free number verification), in your name and on your behalf. You agree to provide Gloo with any information required for such application or registration, including a description of your proposed Program. You represent and warrant to Gloo that all such information is and will be true, accurate, and complete in all respects, and you covenant and agree to promptly update such information in the event of any changes.

Use Is Program Specific

You may use each Messaging Offering solely in connection with the Program stated in your application or registration for that Offering. 

No Unsolicited Messages

Unsolicited messages may not be transmitted using any Messaging Offering.

An Express Opt-In Is Required

Before using a Messaging Offering to deliver messages to any mobile device, you agree to obtain an express Opt-In to receive those messages from the User of that device. Each Opt-In is specific to a given Program, and you agree to obtain a separate Opt-In associated with each specific Program. Enrolling a User in multiple Programs based on a single Opt-In is prohibited, even if those Programs operate on the same short code or other number. You agree to obtain a new Opt-In from each User upon any change to the Program.

You are responsible for maintaining records sufficient to demonstrate each User's Opt-In and for providing those records to Gloo promptly upon request.

Opt-Ins Must Be Obtained Through a Valid Call-to-Action

Each request sent to a User to Opt-In to a Program must be in the form of a valid Call-to-Action inviting the User to opt in to the Program. You are responsible for ensuring that each Call-to-Action complies with the requirements of the CTIA Guidelines.

All Opt-Outs Must Be Honored

You agree to ensure that Users have the ability to Opt-Out at any time. You agree to acknowledge and respect Users' Opt-Out requests. You agree not to send any additional messages, whether using the applicable Messaging Offering or otherwise, to a User following that User's Opt-Out.

Third-Party Provider Terms Apply

The Messaging Offerings are provided by Gloo using third-party providers, including Bandwidth, Inc. Your use of the Messaging Offerings is subject to the Provider Terms. You will comply with all Provider Terms and will not cause Gloo to violate any Provider Terms.

You Must Comply with All Laws

Your use of the Messaging Offerings will comply with all applicable Laws, and you will not cause Gloo to violate any applicable Law. Without limiting the foregoing, your use of the Messaging Offerings will comply with the Telephone Consumer Protection Act ("TCPA") and similar Laws governing mobile communications, and any other legal requirements that may apply to your Program. By way of example and without limitation, additional requirements may apply to sweepstakes or contests or to solicitations of charitable donations.

You Must Follow the CTIA Guidelines

Your use of the Messaging Offerings must also comply with common carrier requirements and industry standards, including without limitation the CTIA Guidelines.

You Must Maintain Program Terms

You agree to conduct your Program subject to Program Terms substantially similar to the example set forth in Exhibit A and including your Program name. You will host a publicly accessible copy of your Program Terms at a URL approved in writing by Gloo. You will also include a link to your Program Terms in each Call-to-Action.

A Privacy Statement Is Required

You must maintain a privacy statement for your Program that is consistent with Gloo's Privacy Statement. You will make your privacy statement accessible to all Users through a clearly labeled link, and you will include a link to your privacy statement in each Call-to-Action. Your privacy statement must also include the disclosures described in Items 7 and 8 of Exhibit A.

Limits on Charitable Donation Programs

You may use a Messaging Offering for purposes of soliciting charitable donations only if stated in your Program description. Solicitation of donations payable through a User's wireless carrier bill is not permitted. Any charitable donation Program must rely on a separate third party to collect all donations. Programs that solicit charitable donations remain subject to all other applicable terms and conditions of this Agreement.

Suspension and Termination

Without limiting any of Gloo's rights under Gloo's Services Terms of Service, Gloo may suspend, limit, or terminate your use of any Messaging Offering if Gloo is required to do so by a carrier, aggregator, or third-party provider, to enforce its applicable policies, or by applicable Laws or regulations. Upon any termination of these Messaging Supplemental Terms or your access to the Messaging Offerings, you must immediately cease use of and access to the Messaging Offerings.

Modifications

Gloo may modify these Messaging Supplemental Terms from time to time. When we make changes, we will post the updated terms on our website and update the "Effective Date" at the bottom of these Messaging Supplemental Terms.

Material modifications to these Messaging Supplemental Terms will become effective either (a) thirty (30) days after we provide written notice of such modifications, which may be provided by email to the address associated with your Account or by prominent notice within the Gloo platform, or (b) upon your next login to your Account after such notice has been provided, whichever occurs first.

Your continued access to or use of the Messaging Offerings after the effective date of any modifications constitutes your acceptance of the modified Messaging Supplemental Terms. If you do not agree to the modified terms, you must stop using the Messaging Offerings.

For modifications related to https://gloo.com/legal/entity-termsofservice, as distinct from these Messaging Supplemental Terms, the modification provisions set forth in Gloo's Services Terms of Service shall apply.

This Is Not Legal Advice

You agree that Gloo is not providing you with legal advice regarding your use of any Messaging Offering or your Program, and that you are solely responsible for compliance with all applicable Laws with respect to your use of the Messaging Offerings and your Program.

Exhibit A — Example Program Terms

The following is an example of the Program Terms you are required to maintain and publish for your Program. Bracketed items must be completed with information specific to your Program.

  1. Program Description. [Program Name] is a messaging program operated by [Company Name]. By opting in, you consent to receive [describe message types, e.g., event reminders, devotional content, service announcements] from [Program Name].

  2. Message Frequency. Message frequency [varies / is approximately X messages per month].

  3. Cost. Message and data rates may apply. [Program Name] does not charge for messages sent or received; charges may be assessed by your wireless carrier under your plan.

  4. Participating Carriers. Carriers are not liable for delayed or undelivered messages.

  5. How to Opt Out. Text STOP to [short code / number] at any time to stop receiving messages. You will receive a single confirmation message and no further messages unless you opt in again.

  6. How to Get Help. Text HELP to [short code / number] for assistance, or contact [support email] or [support phone number].

  7. Privacy. Your information is handled in accordance with our privacy statement at [URL]. We do not sell, rent, or share mobile opt-in data or consent with any third party for marketing purposes.

  8. Mobile Information Sharing. Mobile information will not be shared with third parties or affiliates for marketing or promotional purposes. Information sharing with subcontractors in support services, such as customer service and messaging delivery, is permitted. All other use case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

  9. Eligibility. You must be [18] years of age or older and the account holder or authorized user of the mobile device to participate.

  10. Changes. We may modify or terminate [Program Name] or these Program Terms at any time. Continued participation after notice of a change constitutes acceptance of the change.
